Announcement Date: July 14, 2026 | Effective Date: August 13, 2026 | Version No.: TC_TW_20260813
The services of the XREX Taiwan virtual asset trading platform (https://xrex.io/tw/zh and the XREX cryptocurrency exchange app, hereinafter referred to as the "Exchange"or ''XREX Exchange") are provided by XREX Inc. (i.e., 鏈科股份有限公司, hereinafter referred to as the "Company"). Upon completing the registration process, an applicant becomes a member of the Exchange and may use the services supported by the Company in fiat currency or virtual assets (hereinafter referred to as the "Virtual Asset Trading Platform Services" or the "Services"). For purposes of these Terms, "virtual assets" means digital assets issued based on blockchain technology, such as Bitcoin, Ether, stablecoins, and other similar assets.
By checking the box to indicate consent (if such mechanism applies) or by using the Platform, you agree to comply with the "XREX Taiwan General Terms and Conditions" (including all supplemental terms and subsequent updated versions, hereinafter referred to as the "Terms"), and a commercial contractual relationship is established between you and the Company. If you do not agree to be bound by these Terms, please discontinue the membership application process or notify the Company to terminate your membership. The Company will cease providing the Exchange Services to you.
The Company reserves the right to amend these Terms and supplemental terms at any time. Any amendments will be announced on the Company's website.
Article 1: Membership Application Requirements
In principle, the Exchange is available for registration and use only by natural persons or companies that meet the conditions set forth in this Article. In exceptional circumstances, the Company may review membership applications that do not meet the conditions of this Article on a case-by-case basis. The Company has the right to review and decide whether to approve a membership application in an appropriate and reasonable manner. The application requirements are as follows:
1)Nationals or residents of Taiwan who have reached the legal age of majority and have full legal capacity.
2)Companies registered or operating in Taiwan.
You may apply at any time through in-app customer service to terminate your use of the Services and your membership. We also reserve the final and full right to review, suspend, or terminate membership.
Article 2: Scope of Services
The scope of Services provided by the Exchange through the website or mobile devices is set out below. The Company only provides a platform through which members may use various functions and services. The Company does not participate in members' investment activities, asset transfers, or other related conduct, nor does it provide any investment or trading advice or establish any relationship arising from such conduct.
Scope of service
1)Depositing or withdrawing fiat currency to purchase or sell virtual assets (i.e., fiat currency deposit and withdrawal services). This Service shall be conducted through trust accounts with financial institutions entrusted by the Company. The Company assigns a corresponding trust virtual account to each member, and the bank will execute the Services under this Article based on the member's operating instructions or applications on the Platform, including purchasing virtual assets with fiat currency funds deposited in the member's trust virtual account (hereinafter referred to as "Account Funding") and withdrawing Account Funding to the member's own bank account. Please note the following with respect to trust accounts:
The financial institution cooperating in the trust arrangement only holds the Account Funding that you actually deliver into the trust account, and is not entrusted to act as an asset manager or transaction guarantor.
Unless otherwise provided by laws, competent authority requirements, or the trust agreement, the trust beneficiary is the Company, and members are not trust beneficiaries. Therefore, you may not withdraw cash from the trust account by yourself. Please withdraw your Account Funding in accordance with these Terms and the Company's operating procedures.
The financial institution cooperating in the trust arrangement is not responsible for verifying the authenticity of, or safekeeping, the transaction subject matter (i.e., virtual assets).
The Company and persons entrusted by the Company to handle matters may, directly or indirectly through third parties (including but not limited to financial institutions cooperating in the trust arrangement, anti-money laundering and counter-terrorism financing inquiry systems and databases), within the scope of specific purposes (including but not limited to verifying your bank account and identity, preventing financial crimes, and complying with relevant laws and policies), conduct any necessary inquiries, collect, process, and use your personal data and other information, complete due diligence, and take reasonable measures based on investigation reports. Except where disclosure or public release is required by law or agreed under the trust agreement, the Company and persons entrusted by it to handle matters shall keep your information confidential.
2)Exchange between virtual assets and fiat currency, and related services.
3)Exchange between virtual assets, and related services, including the Grid Bot service.
4)Transfer of virtual assets, and related services.
5)Custody services for virtual assets.
6)Other services approved by competent authorities, if any.
For service quality and operational needs, the Company may appropriately adjust the supported fiat currencies, categories of virtual assets, or related Service content, and will notify members and conduct follow-up handling in a reasonable manner to protect your rights.
The Exchange provides Services only to members registered in Taiwan and does not target any country or region where the Company has not obtained a license or legal authorization. When members use the Exchange outside Taiwan, they shall independently confirm and comply with local laws. The Company's provision of Services does not constitute operations, solicitation, or provision of services requiring local authorization in such foreign jurisdictions. Members may not claim that the Company has violated local laws, or seek damages or compensation on that basis alone, solely because the Exchange does not hold a local license or authorization.
To fulfill customer protection obligations, the Company will conduct an investment profile analysis of members (such as risk tolerance, investment experience, financial condition, and other factors) in order to provide suitable services or products. We recommend that you truthfully and accurately complete the questionnaire (or other applicable mechanism) so that the Company may provide services or products suitable for you. You understand that false or incomplete questionnaire responses may affect the Company's assessment and may result in your use of services or products that are not suitable for you, thereby exposing you to greater risk.
To improve service efficiency and ensure service quality, the Company may use third-party services in its various operations, Platform functions, or provision of services.
The Company endeavors to provide Platform Services at all times. However, due to the nature of online services, we do not guarantee that the Services will always be provided in real time, without interruption, errors, technical difficulties, defects, or system abnormalities. Please also note that the Exchange may be temporarily interrupted due to periodic or routine maintenance, network or electronic communication interruptions, or other force majeure events. Such circumstances include but are not limited to:
1)Periods of website updates or system maintenance announced by the Company;
2)Technical adjustments or equipment failures that prevent data transmission; or
3)Suspension of services for the Company's trust account for any reason.
Article 3: Member Obligations
Upon becoming a member of the Platform, you understand and will comply with the obligations set forth in this Article:
Completion of Customer Identification and Verification You agree to provide true, accurate, current, and complete personal data (including but not limited to email address, name, address, gender, telephone number, nationality, date of birth, tax identification number or national identification number or passport number, a bank account in your own name, and other registration and transaction information) to the Company and third parties lawfully entrusted by the Company to handle matters (including financial institutions entrusted by the Company for trust cooperation), and to proactively notify the Company and complete updates if such information changes. Third parties entrusted to handle matters may, within the scope of the specific purposes of the entrusted matters (including but not limited to assisting the Company in checking a member's account-opening bank to verify the authenticity of the member's account, complying with laws, and complying with anti-money laundering and counter-terrorism financing policies), collect, process, or use such personal data, and may take any reasonable measures based on the results of such inquiries and reports. If you provide false information, use another person's information without authorization, fail to update information in a timely manner, or otherwise violate this Article, the Company may restrict, freeze, suspend, or terminate all or part of the account Services, and may report or cooperate in investigations in accordance with law. If the Company suffers damage as a result, you shall be liable for damages, including but not limited to reasonable attorneys' fees, investigation costs, and other necessary expenses.
Account Security Maintenance Members shall properly safeguard their accounts, passwords, and multi-factor authentication devices, and shall not disclose, lend, or authorize any third party to use them. If a member becomes aware of, or reasonably suspects, that the account, password, multi-factor authentication device, or other security credentials have been used without authorization, lost, leaked, or may have been compromised, the member shall immediately change the password and notify the Company's customer service so that assistance may be provided. The Company will not request members to provide passwords or instruct members to remit funds to any account or wallet not designated by the Platform. Any losses incurred by members due to reliance on unofficial information shall be borne solely by the members. If any loss occurs because a member fails to fulfill protection obligations, or because a third party improperly obtains access or a hacker intrusion occurs, the member shall be solely responsible, and the Company shall not be liable for any compensation or indemnification.
Assumption of Risk You fully understand and agree that the Company does not provide any investment, legal, or tax advice. Given the rapidly changing nature of virtual assets and related industries, you shall ensure that you possess basic financial technology knowledge and assume all risks of virtual asset transactions. You also understand that, except for causes attributable to the Company, transactions conducted under your member account shall in principle be presumed to have been conducted by you or by a person authorized by you, and the account holder shall assume all transaction risks and legal responsibilities. Please refer to Article 6 of these Terms for the relevant risk disclosures. You further understand and agree that, if you use the Exchange outside Taiwan, you shall bear sole responsibility for complying with local laws and regulations. The Company's provision of Services does not constitute operations or solicitation in such foreign jurisdiction, and the Company shall not bear any responsibility for compliance with local laws due to a member's use outside Taiwan.
Fees To maintain the quality and operation of the Virtual Asset Trading Platform Services, you agree that the Company may charge transaction or service fees and other related fees. Please refer to [Fee Policy] for explanations regarding product/service content and related fees. For the conduct of transactions, you authorize the Company to directly deduct relevant fees and amounts payable from your account on the Exchange (hereinafter referred to as the "Member Account"). The Company has the right to adjust the foregoing fee rates or set minimum transaction thresholds; provided, however, that if the withdrawal or transaction fees for a Service you are using increase, the Company will notify you in writing before you make the withdrawal or transaction.
Prohibited Conduct Members shall not engage in the following conduct. If a member causes damage to the Company through any of the following conduct, the member shall be liable for related damages (including economic losses, attorneys' fees, and reasonable investigation costs). The Company also has the right to refuse to provide all or part of the Services to the member, or to take other reasonable measures to prevent the expansion of damage: 1)Violation of the Terms or legal provisions, misuse of Services, harassment, or harm to the rights of other members; or 2)Unauthorized impersonation of a third party or XREX, including implying or falsely stating your relationship with XREX or any third party; or 3)Infringement of any third party’s rights, including but not limited to intellectual property rights, confidential information, or other ownership; or 4)Harassment or inappropriate behavior towards our Customer Service personnel.
Article 4: Transaction Processes and Important Notes
Deposit and Transfer of Virtual Assets You may deposit virtual assets into your Member Account from a virtual asset wallet provided by an external provider (hereinafter referred to as an "External Virtual Asset Wallet"). The Company also conditionally supports internal transfers of virtual assets within the Exchange (BitCheck) or transfers to an External Virtual Asset Wallet from the Member Account. Members must meet the eligibility thresholds set by the Company before applying to the Company for the foregoing virtual asset transfer-out function or Service. The Company may unilaterally adjust the eligibility thresholds at any time by reference to market conditions, legal compliance obligations, and other matters.
Fiat Currency Deposits You must link your bank account to the Exchange in order to deposit fiat currency as Account Funding. Such bank account must be verified by the Company or a service provider entrusted by the Company. After bank account verification is completed, you may deposit Account Funding into the Exchange through such bank account. Please note that the Exchange only supports depositing Account Funding through ATM, WebATM, or online bank transfer. Account Funding deposited into the Exchange does not accrue interest and may be used only for transactions on the Platform.
Fiat Currency Withdrawals You may withdraw Account Funding from your Member Account to your bank account, but you may not withdraw Account Funding through ATM or over-the-counter methods. When you apply for a member withdrawal, corresponding fees may be payable. You understand that withdrawing Account Funding to your verified bank account may take approximately three to five business days, subject to adjustment based on the processing time of cooperating financial institutions.
Platform Transactions Virtual asset purchases and sales on the Exchange are conducted through matched trading. To enhance market efficiency and liquidity, the Company may adopt other methods. For details, please refer to the Rules for Virtual Asset Trading, Transfer, and Exchange. All transactions conducted by you on the Exchange shall, except as otherwise provided by law, required by competent authorities, agreed in these Terms, or in cases of system abnormalities or manifestly erroneous transactions, be deemed final and conclusive upon completion. Payments and fees made for transactions shall not be refunded. Members shall carefully read and confirm all transaction information before trading, including but not limited to the price of virtual assets, order quantity, fees, buy or sell direction, and other matters. The Company has the right to cancel orders or take other necessary measures under the following circumstances in order to protect the rights and interests of Platform members and avoid the occurrence or expansion of damage. You agree to hold the Company harmless from all liabilities that may arise therefrom: 1)A member's transaction or use may constitute abuse of the Services, including but not limited to market manipulation, fraudulent conduct, or other conduct harmful to trading fairness; or 2)Orders, instructions, or transactions caused by manifest errors in price, quantity, system display, technical abnormalities, or other manifest errors; or 3)Any requirement based on laws or government authorities; or 4)Restrictions imposed by the Company on transaction scale, frequency, or use of the Exchange interface for operational needs; or 5)Other possible abnormal circumstances, including abnormal executions caused by system errors, network outages, cybersecurity incidents, or similar factors.
Regardless of the reason for the Company's mandatory settlement, asset conversion, return, account closure, or termination of business relationship, you understand and agree that virtual asset price fluctuations, market depth, liquidity, transaction delays, blockchain network congestion, third-party institution processing time, exchange rate fluctuations, or other factors not attributable to the Company may result in settlement, conversion, or return outcomes that differ from your expectations. Except where caused by the Company's willful misconduct or gross negligence, the Company shall not be liable for damages or compensation for any price differences, lost opportunities, delay damages, on-chain losses, or other indirect damages arising therefrom. If laws, competent authorities, or judicial police authorities provide otherwise, such instructions shall prevail.
Members shall carefully verify all information relating to the acquisition and transfer of virtual assets, including but not limited to the services supported by the Company, the type and quantity of virtual assets to be transferred, and virtual asset wallet addresses. The Company does not guarantee support for blockchain forks or new assets generated therefrom. If you need to send or receive forked assets, please transfer them to another supported platform in advance.
If virtual assets are lost due to a member's actions beyond the scope of the Services or other improper operations, the Company shall, to the extent permitted by law, not be liable for any risks or losses arising therefrom, and reserves the right to determine whether to assist the member in recovering the lost virtual assets. If the Company agrees to assist in recovering the member's lost virtual assets, the member shall bear all necessary costs and expenses incurred, and the Company has the right to deduct such costs and expenses from the recovered virtual assets before returning the remaining portion.
Article 5: Crime Prevention and Compliance Policies

This shall not apply where the Company has willful misconduct or gross negligence in relation to the occurrence of such damage.
Article 6: Risk Disclosure
The risk disclosures for the Exchange are illustrative and not exhaustive. You should independently research the nature of virtual asset transactions, assess your own risk appetite and tolerance, and decide whether to apply for membership or conduct any transaction. The following risks may cause the Exchange to fail to operate normally or suspend part of the Services, and the Company shall not be liable for any losses arising therefrom:
Market Risk The market value of virtual assets may fluctuate significantly, and you may lose all funds invested. You must exercise caution when buying, selling, or trading virtual assets and understand the relevant assets.
Liquidity Risk Virtual assets are not legal tender. Due to market conditions and various external factors, virtual assets may cease trading, experience reduced trading volume, or even cease circulation, and you may therefore lose all funds invested.
Legal Risk The virtual asset industry is still rapidly developing and changing, and its legal status may not be clear. Changes in local laws, regulations, or policies based on your place of residence, nationality, place of conduct, or other factors may cause virtual asset holders or related businesses to assume other legal obligations, such as tax obligations. If needed, you are advised to consult legal, tax, or other professionals for explanation. The Company does not guarantee that any virtual asset is lawful, tradable, holdable, or usable in any jurisdiction.
Counterparty Risk If you withdraw virtual assets to any third-party external wallet, certain risks may arise, including but not limited to security vulnerabilities, counterparty default risk, and market loss risk.
Cybersecurity Risk You agree and understand that the Company provides the Virtual Asset Trading Platform Services in accordance with industry standards, and the Company provides you with the best services in good faith to ensure the reliability, continuity, and security of the Services. However, the Company does not guarantee zero cybersecurity risk. Such risks include but are not limited to force majeure, viruses, trojans, hacking, blockchain verification congestion, system instability not attributable to the Company, third-party service deficiencies, or government control measures, which may cause service interruptions, data loss, and other losses and risks.
Network and Electronic Transaction Risk You should understand that networks and technologies have limitations. When using the Company's services or products through any electronic device and network service, the nature of the equipment and network may cause delays, errors, or unavailability of the Company's Services. Even where the Company is not at fault, the aforementioned electronic devices or networks (including but not limited to software, hardware, and firmware) may still experience service delays or interruptions for unknown reasons and thereby give rise to related risks.
Information Misstatement Risk We provide information on the website and the Virtual Asset Trading Platform Services in good faith and seek to update it as promptly as possible. However, we cannot guarantee that all information on the website or the Virtual Asset Trading Platform Services is complete and error-free. Please understand that transaction information provided by the Company may not be real-time and may be incorrectly or incompletely displayed due to third-party or other technical factors. Accordingly, you agree not to assert liability for damages against the Company on the basis that the results of transactions or decisions made in reliance on information provided by the Company did not meet your expectations.

Except where there is an express business promotion collaboration, the Company shall not be responsible for any third-party advertisements, offers, or statements regarding XREX Services.
The Company shall not be liable for any suspension, delay, or failure in the transfer of your Account Funding caused by following circumstances: 1)You violate these Terms or any policies or agreements incorporated into these Terms, including but not limited to the Privacy Policy and various Service Terms; or
2)You fail to complete the verification procedures set forth in these Terms; or
3)A cooperating financial institution fails to provide all or part of the trust services to the Company due to natural disasters, acts of civil or military authorities, terrorist acts, civil unrest, war, strikes or other labor disputes, fire, interruptions in telecommunications, network services, or services of network providers, equipment or software failures, DOS attacks, blockchain verification congestion, rapid fluctuations in the price of any virtual asset, other disasters, or any other events beyond the reasonable control of the cooperating financial institution.

Article 8: Limitation of Liability
For reasons of force majeure, causes not attributable to the Company, or unforeseeable events, you understand and agree that, to the maximum extent permitted by law, the Company and its affiliates shall not be liable for any compensation or damages for damage, transaction delays, interruptions, failures, or other losses arising from the use of the Services:
Personnel Liability You understand and agree that the Company and its affiliates (including but not limited to each company and each company's directors, officers, employees, agents, representatives, or any other legal person or individual involved in the creation, production, or delivery of the Virtual Asset Trading Platform Services) shall be liable for direct damages caused by the Company's willful misconduct or negligence. The Company and its affiliates shall not be liable for damages or losses that could not reasonably have been foreseen, including but not limited to lost profits, loss of goodwill, data loss, loss of trading opportunities, indirect damages, incidental damages, or punitive damages.
Scope of Responsibility You understand and agree that, if the Company incurs any compensation obligation to a member, the scope of the Company's compensation shall be limited to direct damages and shall not include any other losses, including indirect damages or economic benefits such as expected profits, income, interest, and future investment losses.
Continued Applicability The above limitations of liability shall apply to the maximum extent permitted by law, and shall continue to apply after these Terms are terminated or cease to be effective, after a member terminates use of the Services, or after the Exchange ceases to provide the Services.
Article 9: Reasonable Exceptions to the Right of Withdrawal for Distance Sales
