XREX Taiwan 平台（下稱 「本平台」）之服務由鏈科股份有限公司（下稱 「本公司」）提供，申請人於完成註冊程序後成為平台會員，並得以本公司支援之法定貨幣或虛擬資產享受各項服務（下稱 「虛擬資產交易平台服務」、「本服務」）。本條款所稱之 「虛擬資產」 係指以區塊鏈技術基礎發行之數位資產，例如比特幣、以太幣、穩定幣等。
當您勾選同意（如適用此機制）或使用本平台，即表示您同意遵守 「XREX Taiwan 使用者條款 」（含所有附加條款及後續更新版本，下稱 「本條款」 ），您與本公司將成立商業契約關係，若您不同意接受本條款約束，請停止會員申請程序或通知本公司終止會員身分，本公司將停止提供您本平台之服務，以確保您的權益。
本公司保留隨時修改本條款及附加條款之權利，若有修改將公告發佈於本公司網站。
第一條 會員申請條件
本平台原則上僅提供符合本條所訂條件之自然人或公司註冊使用，於例外情況下，始個案檢視未符合本條條件之會員申請案，本公司有權以適當與合理之方式審核、決定是否核准會員資格申請。申請條件如下： （1）達法定成年年齡之中華民國國民或居民，且具完全行為能力。 （2）註冊於中華民國之公司。
您得隨時使用in-app客服申請終止使用本服務及會員身份，我們亦保有最終完整審核、暫停或終止會員資格之權利。
第二條 服務之範圍及限制
本平台透過網站或行動裝置所提供之服務範圍如下，本公司僅提供會員使用各項功能與服務之平台，並不參與會員之投資、資產移轉等行為，亦不提供任何投資或交易之建議，或上述行為所衍生之任何關係。
存入或提領法定貨幣以購買或出售虛擬資產，該項服務需透過本公司所委託金融機構之信託帳戶為之，本公司為每位會員均設有信託虛擬帳號，銀行將依本公司會員於平台之操作指示或申請，執行本條服務，包含以會員信託虛擬帳戶內所存入之法定貨幣款項（下稱「交易準備款」）購入虛擬資產、提領交易準備款至會員本人的銀行帳戶等事項。 有關信託帳戶，請您注意以下事項： （1）信託合作之金融機構僅代為保管您實際交付至信託專戶內之交易準備款，並未受託擔任資產管理或交易保證人。 （2）除法令或契約另有約定外，信託受益人為本公司，會員並非信託受益人，故您無法自信託專戶自行提領現金，請按本條款及本公司作業程序提領您的交易準備款。 （3）信託合作之金融機構就交易標的（即虛擬資產）不負驗證真偽或保管之責。 （4）本公司及受本公司委任處理事務者，有權直接或間接以透過第三方（包括但不限信託合作金融機構、防制洗錢及打擊資恐查詢系統與資料庫）之方式，於特定目的範圍內（包括但不限於查詢及驗證您的銀行帳戶和身分及防止金融犯罪、法令遵循相關政策等）進行任何必要的查詢及蒐集、處理與利用您的個人資料及其他資料、完成盡職調查，並根據調查報告採取合理措施。除法令或信託契約約定應予公開或揭露者外，本公司及受其委任處理事務者對於您的資料應負保密之責。
虛擬資產與虛擬資產交易配對平台服務，包括網格機器人（Grid Bot）服務。
虛擬資產與法定貨幣交易配對平台服務。
虛擬資產移轉服務。
虛擬資產保管服務。
為服務之品質與營運需求考量，本公司得適當調整支援之法定貨幣、虛擬貨幣類別或相關服務內容，並將以合理方式進行用戶通知以及後續處理，以保障您的權利。
您理解，為促進服務之效率並確保服務之品質，本公司對於各項營運、平台功能或服務之提供，可能採用第三方服務。 本公司盡力確保始終提供平台服務，但基於網路服務之性質，我們不擔保在提供服務時，會始終即時、不間斷、無錯誤、無技術困難、無缺陷或無系統異常。並請知悉，本平台可能會因定期或日常維護，以及因網路、電子通訊中斷或其他不可抗力事件造成的停止運作，而暫時中斷。 該狀況包含但不限於：
本公司公告之網站更新或系統維護期間；或
技術調整或設備故障致無法進行數據傳輸；或
本公司信託帳戶因故停止服務。
第三條 會員之義務
於成為本平台會員時，您已瞭解並將遵守本條提及之義務：
完成實名驗證 您同意提供完整且真實之個人資料（包括但不限於電子郵件、姓名、地址、性別、電話號碼、國籍、出生日期、稅籍編號或身分證字號或護照號碼、與本人同名之銀行帳號，以及其他註冊與交易資訊等）予本公司及受本公司依法委任處理事務之第三人（包括受本公司委託之信託合作金融機構）。且於受委任處理事務之第三人於所託事項之特定目的範圍內（包括但不限於協助本公司查詢會員之開戶銀行確認會員帳號真偽、遵循法令及洗錢防制打擊資恐相關政策），得就該個人資料為蒐集、處理或利用，並得依該查詢及報告的結果，採取任何合理措施。
帳號安全維護 您同意依合理方式妥善保管帳號密碼（包括多階段驗證設備），不得暗示、透露帳號密碼，或以任何方式讓渡、出借、授權予第三人使用您的帳號。
假如您認為自己的帳號遭到入侵或有可能遭到入侵，請立即變更密碼並即刻通知本公司客服人員，本公司將協助暫停該帳號相關交易及使用，並於釐清帳號使用問題後，依會員請求重新設定密碼開通帳號使用。
另請注意，本公司不會向任何會員索取密碼，或要求您向任何非本平台提供的帳戶、錢包地址匯款，請您切勿相信任何非官方所釋出之折扣、優惠等訊息，因前述情形所致損失，本公司並不負損害賠償之責。
風險承擔 您已充分理解並同意本公司並未提供任何投資、法律或稅務建議，基於虛擬資產及相關產業變化快速的特性，您應確保自身具備基本金融科技知識，承擔虛擬資產交易的一切風險。同時，您應理解一切帳號交易均推定為您本人進行，故將由帳號所有人承擔一切交易風險及法律責任。相關風險揭露詳見本條款第六條。
負擔費用 為維持虛擬資產交易平台服務及營運品質，您同意本公司收取交易或服務手續費等相關費用，請詳幫助中心內有關產品／服務內容及相關手續費等費用之說明；就交易之進行，您授權本公司逕從您於本平台之帳戶（下稱「會員帳戶」）扣付相關費用與應付款項等。 本公司有權調整前述費用之費率或設定最低交易門檻，惟您使用中服務之提領或交易手續費用有所增加 時，本公司將於您提領或交易前以書面告知您。
禁止行為 會員不得從事下列行為，會員因下列行為造成本公司損害，應負擔相關損害賠償責任（包括經濟損失、律師費及合理之調查費用等），且本公司有權拒絕提供會員全部或部分服務，或以其他合理措施防止損害擴大： （1）違反本平台使用條款或違反法律規定、濫用本公司服務、騷擾或惡意損害其他會員權益； （2）未經授權假冒第三方或本公司，包含暗示或以其他方式虛偽陳述您與本公司或任何其他第三方的關係； （3） 侵害任何第三方權利，包含但不限於任何智慧財產權、機密資訊或其他所有權；或 （4）對本公司服務人員為騷擾或不當言行。
第四條 交易流程與注意事項
虛擬資產存入與移轉 您可以由外部業者所提供的虛擬資產錢包（下稱「外部虛擬資產錢包」），將虛擬資產存入您的會員帳戶；本公司亦支援將會員帳戶內虛擬資產移轉至外部虛擬資產錢包。當您進行上述行為，本公司可能收取相應之手續費。
會員入金 您必須在本平台連結您的銀行帳戶，以存入法定貨幣交易準備款，該銀行帳戶須經本公司或本公司所委託之服務提供商進行驗證。 於完成銀行帳戶驗證後，方得透過該銀行帳戶將交易準備款存入本平台。請注意，本平台僅支援透過ATM、WebATM或（網路）銀行匯入交易準備款，存入本平台之交易準備款並不會產生利息，且僅供本平台的交易使用。
會員出金 您可以將會員帳戶之交易準備款提領至您的銀行帳戶，惟無法透過ATM或臨櫃方式提取交易準備款。當您申請會員出金，可能須支付相應之手續費。您理解，提取交易準備款至您本人驗證過的銀行帳戶約需三至五個工作日，依合作金融機構之作業時間可能有所調整。
平台交易 本平台之虛擬資產買賣採電腦配對媒合交易，為增進市場效率及流動性，本公司得採取其他方式為之。詳細資訊請參XREX幫助中心-交易指南。
您於本平台所進行之所有交易於完成後均視為為最終、確定之交易，為進行交易所支付之款項與費用將不予退還，會員於交易前應詳閱、確認交易訊息之全部內容，包括但不限於虛擬資產之價格、委託量、手續費、買入或賣出方向等事項。 本公司有權於以下情況取消訂單或採取其他必要措施，以維護平台會員之權益、避免損害之產生或擴大等，您同意使本公司免於負擔因此可能產生之所有責任： （1）會員之交易或使用行為有構成濫用服務之虞，包括但不限於操縱市場或虛偽詐欺等有害交易公平之行為。
（2）基於價格、數量或其他事項所致明顯錯誤之指令或交易。 （3）任何基於法令或政府機關之要求。 （4）本公司為營運所需而限制交易之規模、頻率或平台介面之使用。 （5）其他可能之異常情況，包含因系統錯誤、網路癱瘓、資安事件等因素所導致之異常成交。
會員就虛擬資產之取得與移轉應詳實確認各項資訊，包含但不限於本公司所支援之服務內容、擬移轉之虛擬資產種類、數量、虛擬資產錢包地址等。
本公司不保證支援區塊鏈分岔（Fork）與其產生的新資產。如需發送或接收分岔資產，請提前移至其他支援平台。
若因會員逾越本服務範圍或其他不當操作導致虛擬資產遺失，於法規允許情形下，本公司對於因此所致風險或損失不負賠償之責，亦保留是否為會員尋回遺失之虛擬資產的權利。若本公司同意協助尋回會員遺失之虛擬資產，就所生之各項必要成本與支出費用，應由會員負擔，本公司有權自所尋回之虛擬資產中扣抵該等成本與費用後返還剩餘部分。
第五條 犯罪防制及遵法政策
於成為本平台會員時，您已瞭解並將遵守及配合本條提及之事項：
為遵循防制洗錢、打擊資恐、反詐欺等金融犯罪之規範條款，本公司已制定防制洗錢及打擊資恐政策與相關作業執行程序（下稱「洗錢防制政策」），並據此全面實施客戶盡職調查程序，包括但不限於以可靠、獨立來源之文件確認客戶身份、資料憑證之保存、對客戶進行持續性交易監控，以及向監理主管機關申報可疑交易。
您及您的關係人（包含但不限於法定代理人、負責人、代表人、被授權人、實質受益人等）同意本公司及受託合作之第三方機構為遵循各項法令規定，若有下列情事發生，本公司有權拒絕、暫時或永久停止本服務、暫停或取消您與本公司相關之各項交易與業務關係、凍結會員帳戶資產、終止會員帳戶使用權限、依政府單位或第三方機構之合法指示或請求提供或揭露個人資訊，或採取其他合理措施（包含但不限於另訂相關政策以因應等）；同時，您亦應配合提供必要資訊或協助，協同本公司辦理後續處理事宜。 依本條辦理相關措施所導致您及您的關係人產生之任何損害或不利益，均由您及您的關係人自行承擔，本公司不負損害賠償責任。 （1）為配合法令規定，或司法、稅務或其他政府機關之合法請求。
（2）實名驗證或使用本服務過程中，您或您的關係人所提供的資訊是不正確、過時或不完整的。
（3）本公司或合作之第三方機構於發現您或您的關係人為受經濟制裁、外國政府或國際洗錢防制組織認定或追查之恐怖分子或團體者。
（4）本公司及合作之第三方機構，於定期或不定期審查您及您的關係人身份作業，或於其他認為必要之情形時（包括但不限於懷疑您及您的關係人涉及非法活動、疑似洗錢、資恐活動、或經媒體報導有涉及任何違法之特殊案件之虞），得要求您於接獲本公司通知後14日（含）內提供審查所需之必要資料（含您及您的關係人之必要資料）、法人戶之實質受益人之資訊，或對交易性質與目的或資金來源進行說明，對以上要求逾期拒不配合履行者。
（5）若您使用本公司服務之行為、會員帳戶或資金來源有涉及任何疑似違反法令之虞，包括但不限於洗錢防制法、資恐防制法、民法、刑法或行政法等相關規定或其他不法情事者。
（6）為保護本公司、本公司用戶或公眾的權利、財產或人身安全。
第六條 風險揭露
本平台之風險揭露僅為列舉而非窮盡所有風險，您應自行研究虛擬資產交易本質，並評估自身風險偏好與承受度，自行決定是否申請會員或進行任何交易。下列風險可能導致本平台無法正常運行或暫停部分服務，本公司對此所生損失不負賠償之責：
市場風險 虛擬資產之市場價值極可能大幅波動，您可能損失投入之全部資金。您在買賣或交易虛擬資產時，都必須謹慎以待，並理解相關標的。
流通性風險 虛擬資產並非法定貨幣，故虛擬資產因市場條件等各項外在因素可能停止交易或減少交易量，甚至停止流通，您可能因此損失投入之全部資金。
法律風險 虛擬資產產業現仍快速發展變化，因此法律定位可能並不明朗，可能因您所居住地區、所屬國籍、行為所在地等當地法規政策變更而使虛擬資產持有人或相關業者承擔其他的法定義務（例如稅務）。如有需求，建議您諮詢法務或稅務等專業人士為您說明。
交易對手風險 若您將虛擬資產提領至任何第三方外部錢包，可能會產生部分風險，包括但不限於安全漏洞、對手違約風險及市場損失風險。
資訊安全風險 您同意並理解本公司依照業界標準提供虛擬資產交易平台服務，本公司秉持誠信原則向您提供最佳服務，以確保服務的可靠性、連貫性和安全性，惟本公司不保證零資安風險，包括但不限於不可抗力、病毒、木馬、駭客攻擊、區塊鏈驗證擁塞或不可歸責於本公司所致系統不穩、第三方服務缺失或政府管制行為等原因可能導致的服務中斷、數據遺失以及其他的損失和風險。
網路及電子交易風險 您應理解網路及科技具有侷限性，透過任何電子裝置及網路服務使用本公司服務或產品，均可能因為設備及網路本身具有的性質，導致本公司之服務發生延遲、錯誤或是無法使用之情形，即縱使本公司無過失情況下，前述電子裝置或網路（包括但不限於軟體、硬體、韌體）仍可能因不明原因而產生服務遲延或中斷並因此衍生相關風險。
資訊誤植風險 我們秉持誠信原則提供本網站及虛擬資產交易平台服務的資訊完整性並儘可能即時更新，惟無法擔保所有網站或虛擬資產交易平台服務的資訊均完整無誤。請您理解本公司提供之交易資訊可能不具即時性，且可能因第三方或其他技術因素而未正確或未完整呈現，故您同意不基於任何信賴本公司資訊進行之決策錯誤請求賠償。
第七條 免責聲明
基於現行法規及當代科技之技術，您瞭解並同意本平台及其關係企業為以下免責聲明：
本平台所提供之各項資訊係以其「現有」狀態而提供。本公司不保證永久提供平台服務或相關內容（包括但不限虛擬資產交易平台服務或本平台之全部或特定期間的特定功能）。對於本平台及本條款內容之修訂或改善，本公司不作任何明示或默示之保證。
本平台以及本條款所述之內容外仍包含其他未知的風險及不確定性，您應對自身所有交易或持有虛擬資產之事項自行負擔全部責任、善盡資訊查證義務，不應完全依賴本公司提供之資訊（包括但不限於虛擬資產交易平台服務附隨指示、參考資料、或本公司之公開資訊等）。
本公司可能提供部分外部連結至其他網站和線上資源，惟本公司對該連結並不具所有權、控制權、授權關係、不進行認可或背書，亦不為任何聲明與保證。您同意自行採取適當保護措施，並瞭解當您使用虛擬資產交易平台服務和本平台而連結至第三方外部連結，您可能會接觸到具有冒犯性、有害的、不正確的、誤導性或不當的網站內容或病毒、惡意程式等，您理解並同意，本公司對您自行連結至外部網站之行為並不承擔任何損害責任。
除有明示業務推廣合作以外，XREX 不承擔任何第三方對 XREX 服務所作出的廣告、優惠或聲明的責任。
本公司因下列情形之一造成您的交易準備款移轉的暫緩、延遲或失敗，不負有任何責任： （1）您違反本條款或本條款所納入的政策或協議，包括但不限於隱私權政策、各項服務條款等；或
（2）您未能完成本條款所載之驗證程序；或 （3）合作金融機構未能向本公司提供一部或全部之信託服務，係因天災、民政或軍事當局的行為、恐怖主義行為、內亂、戰爭、罷工或其他勞資糾紛、火災、電信、網路服務或網路供應商服務中斷、設備或軟體故障、DOS 攻擊、區塊鏈驗證擁塞或任何虛擬資產價格的快速波動、其他災難或超乎合作金融機構可合理控制的任何其他事件。
上述免責聲明應在法律允許的最大範圍下適用，並且在本條款終止或失效、會員終止使用本服務或本平台停止提供服務後，仍繼續適用。
第八條 責任限制
基於不可抗力、不可歸責或不可預見等事由，您理解並同意，在法律允許的最大範圍內，本公司與其關係企業對於因下列情形造成您在資金移轉的暫緩、延遲或失敗，不負任何損害賠償責任：
人員責任 您理解並同意本公司及其關係企業（包括但不限於各公司及各公司的董事、主管、員工、代理人、代表人或任何其他有參與創造、生產或交付虛擬資產交易平台服務之法人或個人），就本公司因過失所致之直接損害負擔賠償責任，本公司與其關係企業對無法合理預見之損害或損失不負賠償之責。
責任範圍 您理解並同意，如本公司對於會員產生賠償義務，本公司之賠償範圍僅限於直接損害，不及任何其他損失，包括預期可創造之利潤、收入、利息及未來投資損失等間接損害或經濟上利益。
繼續適用 上述責任限制應在法律允許的最大範圍下適用，並且在本條款終止或失效、會員終止使用本服務或本平台停止提供服務後，仍繼續適用。
第九條 通訊交易解除權合理例外情事
本平台所提供之服務屬經消費者事先同意始提供之非以有形媒介提供之數位內容或一經提供即為完成之線上服務，因此依消費者保護法第19條第2項規定，排除消費者保護法第19條第1項解除權之適用。
第十條 隱私權政策
XREX Taiwan 隱私權政策為本條款之一部分，故同意本條款將視為同意本公司隱私權政策。本公司非常重視您的隱私保護，請您務必詳閱 「 XREX Taiwan 隱私權政策」 與 「Mobile ID 門號認證服務使用者約定條款及隱私權告知條款」，以理解本公司及合作之第三方服務提供商 「臺灣網路認證股份有限公司」 如何蒐集、處理、利用您的個人資料。
第十一條 智慧財產權
本平台所有內容與資源，包括但不限於網站上呈現之文字、數據、影音、圖像、平台架構、程式設計、平台介面與版面、商標、其他標示或資訊等，均屬本公司或相關權利人依法擁有之智慧財產權，受著作權法、商標法、專利法、營業秘密法或公平交易法之保護。
您得以在任何合法裝置上瀏覽、截取或下載本平台呈現之資訊，但應限於個人、非商業用途，且您應完整保留本公司所有之智慧財產權和其他所有權等聲明。
非經本公司或權利人事先許可或授權，不得對前述網站內容與資源進行重製、改作、還原工程等，以免涉侵權或違法之責任。
第十二條 一般事項
為保障雙方之權益，您瞭解並同意以下之一般事項：
本條款之修改 本公司保留隨時修改本條款及附加條款之權利，若有修改將會發布於本公司網站，會員若不同意本條款修改後之內容，請停止使用一切服務，並請聯繫本公司之客服人員，以便協助帳號後續處理及保障您的權益。如會員繼續使用本公司服務，即視為已同意接受條款之修改。
準據法與爭端解決 本條款以中華民國法律為準據法。任何本條款所生或與之相關的紛爭、爭議或關於本條款的違反、終止或無效等問題，應以臺灣臺北地方法院為第一審之合意管轄法院。
非棄權條款 當您違反本條款而本公司未行使或遲延執行本條款之權利，不影響本公司日後權利之主張，亦不代表本公司放棄對您違約的請求權。
可分離性 若本條款的任一部分被認定為無效或不可執行，其餘部分仍為有效。
不可抗力條款 本公司對於超乎合理控制而直接或間接導致本服務有所延遲、執行失敗或中斷的原因或情形不負損害賠償之責，包括但不限於電信、網路服務或網路供應商服務中斷、硬體、韌體或軟體故障、戰爭、暴動、禁運、罷工或其他勞資糾紛、颱風、水炎、火災、地震、網路攻擊、區塊鏈驗證擁塞或任何虛擬資產價格的快速波動、其他災難或超乎合理控制的任何其他事件。
控制權變更 當本公司受其他第三方併購或合併時，本公司有權合法移轉所收集的資訊，作為商業交易或其他控制權變更的一部份。
稅務 您應自行諮詢稅務專業人士，並完全負擔因使用虛擬資產交易平台服務一切納稅義務。
完整性 本條款為本公司與您的完整合意約定，取代先前或其他同時存在的任何口頭或書面的陳述。
語言 本條款以中文和英文呈現，如彼此產生矛盾或相異，應以中文版為優先適用。
申訴管道 如您對本公司平台之服務或交易內容有疑問或申訴需求，請隨時透過app內幫助中心，聯繫我們的客戶服務團隊。
第十三條 附加條款
為保障您的權益，針對本公司平台上提供之產品或其他服務的範圍，另以附加條款規範以供您詳細閱讀及瞭解，附加條款臚列如下：
使用本平台上BitCheck服務前，您應瞭解並同意XREX Taiwan BitCheck使用條款。
使用本平台上收益型產品、借貸及賣空服務前，您應瞭解並同意 XREX Taiwan 虛擬資產借貸與信用交易服務條款。
為確保有效防制不法行為、保障使用者的交易安全，並嚴格遵循洗錢防制法等相關規範，XREX 特制定洗錢防制暨平台使用管理辦法，以打造健全、便利、安心的交易環境。
XREX Taiwan General Terms and Conditions

XREX Taiwan Platform (hereinafter referred to as "the Platform") provides services operated by XREX Inc. (hereinafter referred to as "XREX" or “we”). Upon completing the registration process, applicants become members of the Platform and are eligible to enjoy various services using fiat currency or virtual assets supported by XREX (hereinafter referred to as "Platform Services" or "Services"). The term "virtual assets" or “crypto” in these terms refers to digital assets issued on blockchain technology, such as Bitcoin, Ethereum, stablecoins, and others.
By checking the box (if this mechanism applies) or using this platform, you agree to comply with the "XREX Taiwan General Terms and Conditions" (including all attached terms and subsequent updated versions, hereinafter referred to as "the Terms"), you establish a commercial contractual relationship with XREX. If you do not agree to be bound by the Terms, please discontinue the membership application process or notify us to terminate your membership. We will cease providing you with the Services to ensure your rights.
We reserve the right to modify the Terms (including all attached terms) at any time, and all updates will be announced on our website.
Article 1: Membership Application Requirements
This platform is primarily available for registration by individuals or companies that meet the conditions stipulated in this article. In exceptional cases, membership applications that do not meet these conditions will be reviewed case-by-case. XREX reserves the right to review and decide on approving membership applications appropriately and reasonably. The application requirements are as follows:
(1) Nationals or Residents of Taiwan who have reached the legal age and have full legal capacity. (2) Legal entities registered in Taiwan or government agencies established in accordance with Taiwanese law.
You may request to terminate your use of Platform Services and your membership at any time via in-app Customer Service. We also reserve the full right to review, suspend, or terminate your membership at our sole discretion.
Article 2: Scope of Platform Services
The Services provided through our website or mobile devices are as follows. XREX only provides the Platform with various functions and Services and does not participate in members' trades, asset transfers, or related activities. We do not offer any transaction or investment advice, nor does it establish any relationship arising from such activities as well.
Depositing or withdrawing fiat currency to purchase or sell virtual assets. This Service must be conducted through trust accounts with financial institutions designated by XREX. Each member is assigned a trust virtual account, and the bank will execute the deposits or withdrawals based on the member's instructions or applications on the Platform. The Services outlined in this clause include purchasing virtual assets with funds deposited in the member's trust virtual account (hereinafter referred to as "Account Funding") and withdrawing Account Funding to the member's personal bank account. Regarding trust accounts, please note the following:
(1) The financial institutions cooperating in the trust arrangement only hold the Account Funding members who actually deposit into the trust account and do not act as asset managers or transaction guarantors. (2) Unless otherwise provided by laws or contracts, the trust beneficiary is XREX, and members are not trust beneficiaries. Therefore, you cannot withdraw cash from the trust account by yourself. Please follow our procedures to withdraw your Account Funding. (3) The cooperating financial institutions do not bear responsibility for verifying the authenticity or custody of the transaction subjects (i.e., virtual assets). (4) XREX and our appointee reserve the right to conduct any necessary inquiries and collect, process, and use your personal and other data to complete user due diligence (including but not limited to verifying your bank account and identity, preventing financial crimes, complying with related policies, etc.) through third parties (including but not limited to cooperating trust financial institutions, anti-money laundering, and counter-terrorism financing service providers and databases). Unless disclosure is required by law or trust contracts, XREX, and its appointed agents are obligated to keep your data confidential.
Virtual Asset trading and order Matching service, including the Grid Bot.
Crypto-to-crypto transfer services.
Crypto-to-fiat transfer services.

For quality and operational consideration, XREX reserves the right to make appropriate adjustments to the supported fiat currencies, types of Virtual Asset, or other Service content. We will seek reasonable ways to notify you of these modifications and follow up to protect your rights.
To enhance service efficiency and ensure quality, our company may adopt third-party services in our various business operations, platform functions, or services.
We make every effort to ensure the continuous provision of platform services. However, due to the nature of online services, we do not guarantee that the service will always be provided in real-time, without interruption, errors, technical difficulties, defects, or system anomalies. Please be aware that the platform may experience temporary interruptions due to regular or routine maintenance, as well as disruptions caused by network issues, electronic communication failures, or other force majeure events.
The situation includes but is not limited to:
Periods of website updates or system maintenance; or
Technical adjustments or equipment failures that prevent data transmission; or
The trust account services are stopped due to circumstances.
Article 3: Obligations
Upon becoming a member of our Platform, you understand and will comply with the obligations mentioned in this article:
Complete User Identity Verification
You agree to provide complete and truthful personal information (including but not limited to your email, name, address, gender, phone number, nationality, date of birth, tax identification number or ID card number or passport number, a bank account in your name, and other registration and transaction information) to XREX and any third party legally appointed by us (including financial institutions entrusted by XREX for trust cooperation). These third parties may collect, process, or use this personal information within the specific purposes of their entrusted tasks (including but not limited to assisting XREX in verifying the authenticity of the member's bank account, complying with laws, and adhering to anti-money laundering and counter-terrorism financing policies). Based on the results of these inquiries and reports, XREX and these third parties may take any reasonable measures.
Account Security Maintenance
You agree to properly safeguard your account password (including multi-factor authentication devices) in a reasonable manner. You must not imply, disclose, transfer, lend, or authorize any third party to use your account in any way. If you find your account has been or may have been compromised, please change your password and notify our Customer Service Team immediately. We will assist in suspending related transactions and account usage. After clarifying the usage issues, we will reset the password and reactivate the account upon the member's request. Please note that we will never ask for your password or ask you to transfer funds to any account or wallet address not provided by the Platform. Do not trust any unofficial discounts, offers, or messages. XREX is not liable for any losses arising from such situations.
Risk Assumption
You fully understand and agree that XREX does not provide any investment, legal, or tax advice. Given the rapid changes in virtual asset-related industries, you should have basic financial technology knowledge and assume all risks associated with Virtual Asset transactions. Additionally, you should understand that all account transactions are presumed to be conducted by you personally, and the account holder assumes all transaction risks and legal responsibilities. For detailed disclosure of relevant risks, please refer to Article 6 of these terms.
Fees
To maintain the quality of Platform Services and operations, you agree that XREX may charge transaction or Service fees and other related costs. Please refer to the Help Center for detailed information about products/services and the associated fees. You authorize XREX to deduct relevant fees and payable amounts from your account on the Platform (hereinafter referred to as "User Account") for transactions.
XREX reserves the right to adjust the fees or set minimum transaction thresholds. However, if there is an increase in the withdrawal or transaction fees for the services you are using, we will notify you in writing before you proceed with the withdrawal or transaction."
Prohibited Conduct
Members shall not engage in the following conduct. If any damage is caused to XREX due to the following conduct, members shall be liable for related damages (including economic losses, attorney fees, and reasonable investigation costs) under the following circumstances. Additionally, we reserve the right to refuse to provide all or part of the services to the member, or to take other reasonable measures to prevent further damage.:
Violation of the Terms or legal provisions, misuse of Services, harassment, or harm to the rights of other members;
Unauthorized impersonation of a third party or XREX, including implying or falsely stating your relationship with XREX or any third party;
Infringement of any third party’s rights, including but not limited to intellectual property rights, confidential information, or other ownership; or
Harassment or inappropriate behavior towards our Customer Service personnel.
At the same time, XREX reserves the right to refuse to provide all or part of the Services or take other reasonable measures to prevent further damage and comply with government requirements
Article 4: Transaction Processes and Important Notes
Deposit and Transfer of Virtual Assets You can deposit virtual assets into your User Account from a third-party wallet ("Third-party Wallet") provided by third-party providers. XREX also supports the transfer of virtual assets from your User Account to a Third-party Wallet, which may be charged corresponding fees for these requests.
Fiat Currency Deposits You must link your bank account to the Platform to deposit fiat currency as Account Funding. This bank account must be verified by XREX or our service provider. Upon completion of bank account verification, you can deposit Account Funding through such a bank account. Please note that the Platform only supports deposits via ATM, WebATM, or (internet) bank transfers. Deposited Account Funding does not generate interest and is solely for transactions on the Platform.
Fiat Currency Withdrawals You can withdraw Account Funding from your User Account to your bank account. However, Account Funding cannot be withdrawn through ATM or over-the-counter methods. Withdrawal requests may incur corresponding fees. You understand that withdrawing Account Funding to your verified bank account may take approximately three to five business days, subject to the processing times of cooperating financial institutions.
Platform Transactions Buying and selling virtual assets on the Platform are conducted through computer-matching transactions to enhance market efficiency and liquidity. XREX may employ other methods as needed. For detailed information, please refer to the XREX Help Center - Trading.
Article 5: Crime Prevention and Compliance Policies
Upon becoming a member of this Platform, you understand and agree to comply with the following:
To comply with regulations on preventing money laundering, countering terrorism financing, and combating fraud and other financial crimes, XREX has established an Anti-Money Laundering and Counter-Terrorism Financing Policy and related procedures (hereinafter referred to as "XREX AML Policy"). Based on such policy, XREX implements comprehensive customer due diligence procedures, including but not limited to verifying customer identity through reliable and independent sources, maintaining records of documentation, monitoring transactions, and reporting suspicious transactions to regulatory authorities.
You and your related parties (including but not limited to legal representatives, authorized persons, beneficial owners, etc.) agree that XREX and its entrusted third-party institutions, in compliance with regulations, may refuse, suspend, or terminate Services, transactions, and business relationships; freeze User Account assets; disclose personal information per legal requests; or take other necessary measures if any of the following occur. Additionally, you should cooperate by providing the necessary information or assistance to facilitate subsequent processing by XREX. Any damage or inconvenience caused to you and your related parties by implementing the measures in this article will be borne by you and your related parties. XREX is not liable for any damages. (1) To comply with legal regulations or legitimate requests from judicial, tax, or other government authorities. (2) The information you or your related parties provide for identity verification or while using the Services is incorrect, outdated, or incomplete. (3) XREX or its third-party partners discover that you or your related parties are subject to economic sanctions or identified or pursued by foreign governments or international anti-money laundering organizations as terrorists or terrorist groups. (4) During periodic or non-periodic reviews, XREX and its third-party partners may request necessary information about you and your related parties, an explanation of the nature and purpose of transactions, the source of funds, and details on the beneficial owners of corporate accounts. You must provide this information within 14 days of notification. Failure to comply may result in the termination of Services. (5) Your use of Services or User Account, or the source of your funds is suspected of violating any laws, including but not limited to anti-money laundering laws, counter-terrorism financing laws, civil law, criminal law, administrative regulations, or other illegal activities. (6) To protect the rights, property, or personal safety of XREX, its users, or the public.
Article 6: Risk Disclosure
The risk disclosures listed here are not exhaustive. You should independently research the nature of virtual asset transactions and assess your own risk tolerance before deciding to apply for membership or engage in any transactions. The following risks may cause the Platform to malfunction or suspend some Services, and we are not liable for any resulting losses:
Market Risk You understand that the market value of virtual assets can fluctuate significantly, which may lead to the loss of all funds invested. You must exercise caution when buying, selling, or trading virtual assets and understand the related assets.
Liquidity Risk Virtual assets are not legal currencies. Market conditions and external factors may lead to halted or reduced trading volumes, or even cessation of circulation, potentially resulting in the loss of all funds invested.
Regulatory Risk The virtual asset industry is rapidly evolving and may be explicitly banned by government authorities or subject to regulatory changes that impose additional legal obligations on asset holders or related businesses.
Counterparty Risk If you withdraw virtual assets to any third-party external wallet, there may be some risks involved, including but not limited to security vulnerabilities, counterparty default risk, and market loss risk.
Cybersecurity Risk You agree and understand that while XREX provides Platform Services according to industry standards and strives to ensure reliability, continuity, and security, it cannot guarantee zero cybersecurity risks. These risks include but are not limited to force majeure events, viruses, malware, hacking, blockchain congestion, system instability not attributable to XREX, third-party service deficiencies, or government regulations, which may lead to Service interruptions, data loss, and other losses and risks.
Network and Electronic Transaction Risk You should understand that networks and technologies have limitations. When using our services or products through any electronic device and network service, the nature of the equipment and network may cause delays, errors, or unavailability of our services. Even if there is no fault on our part, the aforementioned electronic devices or networks (including but not limited to software, hardware, and firmware) may still experience delays or interruptions due to unknown reasons, leading to associated risks.
Information Misposting Risk We strive to provide complete and timely updates on the website and Platform with integrity. However, we cannot guarantee that all information is entirely accurate or complete. You understand that the information provided by XREX may not be real-time and could be inaccurately or incompletely presented due to third-party or other technical factors. Therefore, you agree not to claim compensation for any decisions made based on XREX's information.
Article 7. Disclaimer
Based on current regulations and contemporary technological capabilities, you understand and agree to the following disclaimers for this Platform and its affiliated entities:
The information provided by this Platform is offered "as is." XREX does not guarantee the perpetual provision of Platform Services or related content (including but not limited to Platform Services or specific features for all or part of the time). XREX makes no explicit or implicit warranties regarding the revision or improvement of the Platform and the contents of these terms.
Beyond the contents described in this Platform and these terms, there are other unknown risks and uncertainties. You are fully responsible for all transactions or holdings of virtual assets, and you should conduct your own due diligence without relying solely on the information provided by XREX (including but not limited to instructions, reference materials, or publicly available information related to the Platform Services).
XREX may provide links to external websites and online resources. However, we do not own, control, authorize, endorse, or guarantee these external links. You agree to take appropriate protective measures and understand that when using the Platform Services and this Platform, linking to third-party external links may expose you to offensive, harmful, incorrect, misleading, or inappropriate website content, viruses, or malware. You acknowledge and agree that XREX is not liable for any damages resulting from your linking to external websites.
Except for explicitly stated business promotion collaborations, XREX is not responsible for any third-party advertisements, promotions, or statements made regarding XREX Services.
XREX shall not be held liable for any delay, postponement, or failure in the transfer of your transaction preparation funds caused by any of the following circumstances:
You violate this T&C or any policies or agreements incorporated herein, including but not limited to the Privacy Policy, various Service Terms, etc.; or
You fail to complete the verification procedures outlined in these Terms; or
The cooperating financial institution fails to provide part or all of the trust services to our company due to natural disasters, actions by civil or military authorities, terrorist acts, civil unrest, war, strikes or other labor disputes, fire, interruptions in telecommunications, network services, or services by network providers, equipment or software malfunctions, DOS attacks, blockchain verification congestion, rapid fluctuations in virtual asset prices, other disasters, or any other events beyond the reasonable control of the cooperating financial institution
The above disclaimers apply to the fullest extent permitted by law and continue to apply even after these terms are terminated or expire, you cease using the Services, or the Platform stops providing Services.
Article 8: Limitation of Liability
You understand and agree that, to the maximum extent permitted by law, neither XREX nor its affiliates shall be liable for any delay, postponement, or failure in the transfer of funds due to the following circumstances:
Personnel Responsibility You understand and agree that XREX and its affiliates (including but not limited to XREX’s directors, officers, employees, agents, representatives, or any other persons involved in the creation, production, or delivery of the Platform Services) shall only be liable for direct damages caused by XREX’s negligence. XREX and its affiliates shall not be liable for damages or losses that could not have been reasonably foreseen.
Scope of Responsibility You understand and agree that if XREX incurs any liability for compensation to the member, the scope of our compensation shall be limited to direct damages and shall not include any other losses, such as indirect damages or economic benefits, including but not limited to anticipated profits, income, interest, and future investment losses.
Continued Applicability The above limitations of liability shall apply to the maximum extent permitted by law and shall continue to apply after the termination or expiration of these Terms, the termination of your use of the Services, or the discontinuation of the Services by the Platform.
Article 9: Reasonable Exceptions to the Right of Withdrawal for Distance Sales
The Services provided by this Platform are digital content that is not supplied on a tangible medium and are provided with the prior consent of the consumer, or online services that are deemed completed upon provision. Therefore, in accordance with Article 19, Paragraph 2 of the Consumer Protection Act, the right of withdrawal stipulated in Paragraph 1 of the same article is excluded.
Article 10: Privacy Policy
The XREX Taiwan Privacy Policy is part of these terms, and thus, agreeing to these terms will be considered as agreeing to our Privacy Policy. Our company places great importance on protecting your privacy, and we urge you to carefully review the XREX Taiwan Privacy Policy and the Terms of Use and Privacy Notice for Mobile ID Number Authentication Service to understand how we and our cooperating third-party service provider, TAIWAN-CA Inc., collect, process, and use your personal data.
The XREX Taiwan Privacy Policy is part of these Terms. By agreeing to these Terms, you also agree to our Privacy Policy. Please read our XREX Taiwan Privacy Policy carefully, as we take your privacy protection seriously. Make sure to understand how we collect, process, and use your personal data.
Article 11: Intellectual Property Rights
All content and resources on this Platform, including but not limited to text, data, audio-visual materials, images, Platform structure, programming, Platform interface and layout, trademarks, other marks, or information presented on the website, are the intellectual property of XREX or related rights holders, protected by copyright law, trademark law, patent law, trade secret law, or fair trade law.
You may view, capture, or download the information presented on this Platform on any legal device, but only for personal, non-commercial use, and you must retain all statements of our intellectual property rights and other ownership declarations in their entirety.
Without prior permission or authorization from XREX or the rights holders, you may not reproduce, adapt, reverse engineer, or otherwise use the aforementioned website content and resources, to avoid liability for infringement or violation of the law.
Article 12: General Provisions
To protect the rights and interests of both parties, you understand and agree to the following provisions:
Modification of Terms XREX reserves the right to modify these Terms at any time. Any modifications will be posted on XREX's website. If you do not agree with the modified version, please cease using all Services and contact XREX's customer service for assistance with account processing and to protect your rights. Continued use of XREX's Services will be deemed as acceptance of the modified version.
Governing Law and Dispute Resolution The Terms are governed by the laws of the Republic of China (Taiwan). Any disputes, controversies, or issues arising out of or related to these Terms, including breaches, terminations, or invalidity, shall be submitted to the Taipei District Court of Taiwan as the court of first instance.
Non-Waiver Clause If you breach the Terms and XREX does not enforce its rights or delays in enforcing its rights under the Terms, this does not affect XREX's right to assert those rights in the future, nor does it constitute a waiver of XREX's right to seek remedies for your breach.
Severability If any part of the Terms is found to be invalid or unenforceable, the remaining parts will still be valid and enforceable.
Force Majeure XREX is not liable for any delays, failures, or interruptions in service caused directly or indirectly by circumstances beyond reasonable control, including but not limited to telecommunications, internet services, or network provider interruptions, hardware, firmware, or software failures, war, riots, embargoes, strikes, or other labor disputes, typhoons, floods, fires, earthquakes, network attacks, blockchain verification congestion, rapid fluctuations in virtual asset prices, other disasters, or any other events beyond reasonable control.
Change of Control In the event of an acquisition or merger by a third party, XREX has the right to legally transfer the collected information as part of a business transaction.
Taxes You should consult tax professionals and are fully responsible for all tax obligations arising from using the Platform Services.
Entire Agreement The Terms constitute the entire agreement between XREX and you, superseding any prior or contemporaneous oral or written statements.
Language These terms are presented in both Chinese and English. In the event of any conflict or discrepancy between the two, the Chinese version shall prevail.

To ensure effective prevention of illegal activities, protect user transaction security, and strictly comply with anti-money laundering laws and related regulations, XREX has established the XREX Anti-Money Laundering and Platform Rules to create a sound, convenient, and secure trading environment.
